Loss from continuing operations after income taxes was $ 96,000 or $(0.01) per share for the year ended December 31, 2006 as compared to $4,956,000 or $(0.62) per share, for the comparable period in 2005.  Net income was $342,000 or $0.05 per share in 2006 as compared to a net loss of $5,500,000 or $(0.69) per share for the comparable period in 2005.

This authorization supplements the existing stock repurchase plan adopted in July 2002, under which Blonder Tongue may still expend approximately $100,000 to acquire additional shares of its common stock.  The Company intends to resume making purchases under the July 2002 plan up to its limits, and thereafter to make purchases under the new 100,000 share program.  As of January 31, 2007, 6,222,252 shares of the Company’s common stock were outstanding.

As part of the realignment, the Company has consolidated the manufacturing, operational services, international operations and engineering functions under the leadership of Ms. Nikoo. Mr. Daly, who will serve as the Company’s Chief Marketing Officer, will now be responsible for all sales, marketing and technical services functions. Eric Skolnik, Chief Financial Officer and Senior Vice-President – Finance, will continue to be responsible for all finance, accounting, personnel and management information systems functions.

Ms. Nikoo has been part of the Company’s executive group since 2004, holding the position of Vice-President – Marketing and Technical Services. She joined Blonder Tongue in 1995 as a product manager and has been promoted steadily to several supervisory and management positions. Ms. Nikoo was previously with Lockheed Martin and holds a B.S.E.E. from Purdue University and M.E.E. from the University of Houston.

Mr. Daly has been with the Company since 2004, serving as Vice-President – Sales. Prior to joining Blonder Tongue, he was the co-founder, Senior Vice-President and Chief Technology Officer at Lamont Digital Systems, Inc. (LDS). Mr. Daly was also the Vice-President and Chief Operating Officer of the Campus TeleVideo division of LDS for eight years, where he was responsible for the growth of the cable integration business.

The transaction will provide Blonder Tongue with a gain of approximately $875,000 on the sale and should also result in annualized savings of approximately $525,000. The transaction also includes certain long-term equipment purchase commitments from DirecPath, which are anticipated to form the basis of a new and meaningful customer relationship. It is also anticipated that Blonder Tongue may provide DirecPath with certain systems engineering and technical services.
The transaction enhances DirecPath’s property portfolio, particularly in the Texas area, to provide bundled DIRECTV® programming, broadband voice and data services and security to multiple dwelling communities.

The shares were owned by James H. Williams, a former director of the Company, and held in a margin account with Ferris Baker Watts, Incorporated. Ferris Baker sold the shares to the Company pursuant to a margin call on Mr. Williams account.

Net income for the third quarter 2006 was $175,000, or $0.02 per share, compared to a net loss of $3,516,000 or ($0.44) per share for the comparable period in 2005. Net loss for the nine months ended September 30, 2006 was $37,000, or breakeven per share, compared to a net loss of $5,047,000 or ($0.63) per share for the comparable period in 2005.

Commenting on the third quarter 2006 results, James A. Luksch, Chief Executive Officer, said, “The comparable quarter-to-quarter sales performance, being relatively flat, is buoyed by the year-to-date sales improvement.” Mr. Luksch continued, “The elimination of certain non-core business units continues to progress. With the disposal of our interest in Blonder Tongue Telephone and the planned divestiture of BDR Broadband, our Texas-based private cable system, we expect an annual improvement to our net income of approximately $600,000. In addition, the anticipated sale of selected Company patent rights should result in net proceeds of approximately $2,000,000.”
